By engaging thehivee ("we," "us," "our") for services, you ("Client") agree to these Terms and Conditions.
Client's monthly management fee will increase from $1,700 to a flat $3,000/month once both of the following conditions are met, whichever occurs later:
This $3,000/month rate is a fixed ceiling and will not increase further under this agreement.
thehivee tracks leads and their reported outcomes using lead-tracking software, which allows Client to assign a value to each lead as it converts into a sale. This ongoing record is the primary basis for confirming when the $16,000 threshold has been reached.
Where additional confirmation is needed, Client may provide any one of the following, at Client's choice:
thehivee will provide 45 days' written notice before the adjusted rate takes effect. The increase requires Client's written confirmation that the threshold has been met. If Client does not confirm, the current rate continues to apply.
If thehivee has reasonable grounds to believe the $16,000 threshold has been met but Client has not confirmed it, thehivee may request supporting documentation as described in Section 3.2. If Client does not provide reasonable documentation within 14 days of request, thehivee may suspend active campaign management until the matter is resolved. thehivee will not delete campaign work, revoke Client's account ownership, or take possession of Client's website under any circumstances. If the matter cannot be resolved, either party may terminate the agreement in accordance with Section 9. Client retains full ownership of the website and Google Ads account regardless of how the engagement ends.
Client is solely responsible for funding Google Ads advertising spend, which is billed directly by Google to the Client. thehivee does not collect, mark up, or handle Client's advertising spend at any point. A minimum monthly ad spend of $2,000 is recommended to support the lead guarantee described in Section 6.
thehivee will launch Client's campaign within 5 business days of receiving all information and access reasonably required from Client. If this timeline is not met due to thehivee's delay, the $700 setup fee will be refunded upon request.
thehivee guarantees 10 qualified leads within 45 days of campaign launch, provided a minimum ad spend of $2,000/month is maintained throughout that period. A "qualified lead" is defined as:
Duplicate leads within a 7-day period, existing customers, wrong numbers, and test submissions are excluded from this count. Missed calls that otherwise meet these criteria are still counted as qualified, but will be flagged separately in reporting.
If 10 qualified leads are not achieved within 45 days, thehivee will continue managing the campaign without charging an additional management fee until this target is met, with no time limit on this commitment.
thehivee is responsible for generating qualified leads and may advise on refining Client's offer to support conversion. Client acknowledges that closing sales, booking jobs, and converting leads into paying customers remains solely Client's responsibility. thehivee makes no guarantee regarding Client's sales, revenue, or profit resulting from leads generated.
Client retains full ownership of the Google Ads account and website created as part of these services, regardless of if or when the engagement ends. thehivee does not retain any claim to these assets.
There is no minimum commitment period. Either party may terminate the ongoing monthly engagement at any time, with 30 days' written notice prior to the next billing date. Services and billing continue through the notice period.
Upon termination, Client retains full ownership and possession of the website delivered by thehivee, regardless of the length of the engagement. thehivee may cease providing hosting or ongoing updates following termination, unless otherwise agreed.
thehivee's total liability arising from these services is limited to the total fees paid by Client to thehivee in the three months preceding any claim. thehivee is not liable for indirect, incidental, or consequential damages, including lost profits.
While thehivee guarantees qualified lead volume as described in Section 6, thehivee does not guarantee any specific level of sales, revenue, or business outcome, as these depend on factors outside thehivee's control, including Client's own sales process.
These Terms are intended to be governed by the laws of England and Wales, without prejudice to any mandatory consumer protection laws applicable in Client's jurisdiction. Both parties agree to seek qualified legal advice regarding enforceability in cross-border engagements.
thehivee may update these Terms from time to time. Continued use of services after changes constitutes acceptance of the revised Terms.
